Welcome to surfgeo. By accessing or using our website, services, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and surfgeo Inc. ("surfgeo," "we," "our," or "us").

surfgeo provides an AI Engine Optimization (AEO) platform that enables users to:

• Track brand visibility across AI platforms (ChatGPT, Claude, Gemini, Perplexity)
• Monitor AI prompts and mentions
• Analyze competitor performance in AI responses
• Generate AI-optimized content
• Track citations and sources
• Measure AI-driven referral traffic

Our Services are provided on a subscription basis with multiple pricing tiers (Starter, Professional, Enterprise).

Account Creation:

• You must provide accurate and complete information when creating an account
• You must be at least 18 years old to create an account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account

Account Security:

• You must notify us immediately of any unauthorized use of your account
• We are not liable for any loss resulting from unauthorized access to your account
• You may not share your account with others
• Each user requires their own account or seat

Account Termination:

• We may suspend or terminate your account for violations of these Terms
• You may cancel your account at any time
• Upon termination, your right to use the Services ceases immediately

Subscription Fees:

• Subscription fees are based on the plan you select (Starter, Professional, Enterprise)
• All fees are in U.S. Dollars (USD)
• Fees are charged monthly or annually based on your billing cycle
• All fees are exclusive of applicable taxes

Payment Methods:

• We accept major credit cards (Visa, Mastercard, Amex) via Stripe
• ACH transfers available for annual plans
• Payment is due upon subscription or renewal

Billing:

• Subscriptions automatically renew at the end of each billing period
• You will be charged the then-current rate for your plan
• We will provide notice of any price increases
• You authorize us to charge your payment method for all fees

No Free Trial:

• We do not currently offer a free trial
• All plans require payment upfront
• You may request a demo before subscribing

30-Day Money-Back Guarantee:

• First-time subscribers may request a full refund within 30 days of initial purchase
• To request a refund, contact support@surfgeo.com
• Refunds are processed within 5-10 business days

Subscription Renewals:

• Renewals are non-refundable
• You may cancel before your renewal date to avoid being charged

Downgrades:

• Plan downgrades take effect at the end of your current billing period
• No partial refunds for downgrades mid-cycle

Enterprise Plans:

• Enterprise plans may have custom refund terms as specified in your agreement

How to Cancel:

• You may cancel your subscription at any time from your account settings
• Or contact support@surfgeo.com to request cancellation
• No long-term contracts or cancellation fees

Effect of Cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not be charged for subsequent billing periods
• You retain access to your account until the end of the paid period

Data Retention After Cancellation:

• Your data remains accessible for 30 days after cancellation
• After 30 days, all data is permanently deleted
• You may export your data before cancellation

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Scrape or data mine our platform without permission
• Use the Services for any illegal or fraudulent purpose
• Impersonate another person or entity
• Harass, abuse, or harm others
• Spam or send unsolicited communications

Consequences of Violation:

• We may suspend or terminate your account
• We may report violations to law enforcement
• You are liable for any damages resulting from violations

Our IP Rights:

• All content, features, and functionality of the Services are owned by surfgeo
• This includes software, text, graphics, logos, and trademarks
• Protected by copyright, trademark, and other intellectual property laws
• You may not copy, modify, or distribute our intellectual property

Your Content:

• You retain ownership of content you create using our Services
• You grant us a license to use your content to provide the Services
• This license includes the right to store, display, and process your content
• The license terminates when you delete your content or account

Feedback:

• If you provide feedback or suggestions, we may use them without obligation to you
• You waive any rights to compensation for feedback

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We Disclaim All Warranties, Including:

• Warranties of merchantability and fitness for a particular purpose
• Warranties of non-infringement
• Warranties regarding accuracy, reliability, or completeness of data
• Warranties that the Services will be uninterrupted or error-free

Third-Party Data:

• We track data from third-party AI platforms (ChatGPT, Claude, etc.)
• We are not responsible for the accuracy of third-party data
• AI platform data may change without notice
• We do not guarantee specific results from using our Services

No Professional Advice:

• The Services do not constitute professional advice
• You should consult professionals for specific advice

TO THE MAXIMUM EXTENT PERMITTED BY LAW, surfgeo SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from use or inability to use the Services
• Damages resulting from unauthorized access to your account
• Damages resulting from third-party services or content

Maximum Liability:

Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim.

Exceptions:

Some jurisdictions do not allow limitation of liability. In such cases, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless surfgeo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data
• Any activity under your account

We reserve the right to assume exclusive defense of any claim subject to indemnification.

Termination by You:

You may terminate your account at any time as described in Section 6.

Termination by Us:

We may terminate or suspend your account immediately for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• At our discretion with 30 days notice

Effect of Termination:

• Your right to use the Services ceases immediately
• We may delete your data after the retention period
• Sections that by their nature should survive termination will survive

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution:

• Any disputes shall be resolved through binding arbitration
• Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules
• Arbitration location: Delaware
• You waive the right to a jury trial
• You waive the right to participate in class actions

Exceptions:

• We may seek injunctive relief in any court of competent jurisdiction
• Small claims may be brought in small claims court

We may modify these Terms at any time. We will notify you of changes by:

• Posting updated Terms on our website
• Updating the "Last Updated" date
• Sending email notification for material changes

Your continued use of the Services after changes constitutes acceptance of the updated Terms.

If you do not agree to the changes, you must stop using the Services and cancel your account.

Entire Agreement:

These Terms constitute the entire agreement between you and surfgeo regarding the Services.

Severability:

If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver:

Our failure to enforce any right does not waive that right.

Assignment:

You may not assign these Terms. We may assign these Terms without restriction.

Force Majeure:

We are not liable for delays or failures due to events beyond our control.

Electronic Communications:

You consent to receive communications electronically.
